Terms of service

These Terms of Service (the “Terms”) form a binding agreement between you and Rank Capture Grow LLC, a Louisiana limited liability company operating as TurnTechs (“TurnTechs”, “we”, “us” or “our”). They govern your access to and use of the TurnTechs website, applications and related services (together, the “Service”).

By accessing or using the Service, you accept these Terms and agree to be bound by them. If you do not accept them, do not use the Service. TurnTechs is a private company and reserves the right to determine who may use it.

2. What the Service is, and what it is not

TurnTechs matches a poster’s minimum qualifications to a job seeker’s profile, and puts the two in touch.

  1. We are not an employer, a staffing agency, an employment agency or a labor broker. We do not employ any User, and we are not a party to any agreement between a Poster and a Seeker.
  2. We make no representation or warranty that a Seeker will obtain work or that a Poster will obtain applicants, hires or results of any kind.
  3. Hiring decisions are made solely by the Poster. Compliance with all applicable employment, labor, wage, immigration and safety law in connection with those decisions rests solely with the Poster.
  4. We do not verify, endorse or vouch for any User, any Content, or the accuracy of any qualification asserted on the Service, except where we state otherwise in writing.

3. Eligibility and Accounts

  1. You must be at least 18 years of age to use the Service. The Service is not directed to, and may not be used by, anyone under 18.
  2. You may hold one Account. Accounts are personal to the User and may not be shared, sold, transferred or assigned.
  3. You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity occurring under your Account, whether or not authorised by you.
  4. You must provide accurate, current and complete information and keep it accurate, current and complete.

4. Prohibited conduct

4.1 No SHAFT. Content and conduct concerning sex, hate, alcohol, firearms or tobacco are prohibited on the Service. This prohibition applies to every job posting, profile, photograph and message transmitted through the Service. It is the standard to which the carriers hold messaging, and it is the standard here.

4.2 You shall not, and shall not attempt to:

  1. make any false, misleading or deceptive statement on the Service, including asserting a trade, license, certification or qualification you do not hold;
  2. impersonate any person or organisation, or misrepresent your affiliation with any person or organisation;
  3. publish a job posting that is not a genuine offer of work, or that misstates the pay, location, duration or requirements of the work;
  4. engage in misconduct toward, or abuse of, any person encountered through the Service, whether that conduct occurs on the Service or elsewhere;
  5. harvest, scrape, index, copy or compile any part of the Service or any Content, by automated means or otherwise;
  6. access the Service by any bot, crawler, scraper or other automated process;
  7. resell, license, publish or otherwise commercially exploit the Service, any Content, or any contact information obtained through the Service;
  8. interfere with, disrupt, probe or circumvent the Service, its security, or any limit we impose on access or use; or
  9. use the Service in violation of any applicable law.

4.3 The conduct described in this Section 4 is prohibited whether or not it causes demonstrable harm, and the list in Section 4.2 is illustrative and not exhaustive.

5. Enforcement

  1. We may investigate any suspected breach of these Terms and may take any action we consider appropriate, including issuing a warning, removing Content, restricting features, suspending an Account, or terminating an Account and permanently barring the User from the Service.
  2. We may act on a pattern of conduct as well as on a single act, and we are not required to establish a breach to any evidentiary standard that would be required in a court of law before acting.
  3. Action under this Section may be taken without prior notice. Where we are able to do so, we will tell you the reason.
  4. No refund is due on termination for breach, and we do not undertake to provide any appeal, review or reinstatement process.
  5. Our decision not to act on a breach is not a waiver of our right to act on that breach or any other breach later.

6. Content and licence

  1. You retain all ownership rights in Content you submit.
  2. You grant TurnTechs a non-exclusive, worldwide, royalty-free licence to host, store, reproduce and display your Content for the purpose of operating and providing the Service. This licence ends when the Content is removed, except to the extent it has already been shared with another User or must be retained by law.
  3. You represent and warrant that you hold all rights necessary to submit your Content and to grant the licence in Section 6.2.
  4. You shall not submit photographs taken where photography is prohibited. Most classified plant areas prohibit photography, and a photograph of a unit can cost you your badge.
  5. We may remove any Content that breaches these Terms, at our discretion and without notice.

7. Terms applying to Posters

  1. A job posting must describe genuine work, with the pay, location, duration and requirements stated accurately.
  2. A posting remains live for 90 days from publication, or until the Poster removes it, whichever occurs first.
  3. Contact information obtained through the Service may be used solely in connection with the posting through which it was obtained. It shall not be sold, published, retained for unrelated purposes, or added to any marketing or mailing list.
  4. The Poster is solely responsible for compliance with all law applicable to its postings, its hiring and its engagement of any Seeker.

8. Fees

  1. The Service is free for Seekers and will remain so.
  2. Per posting: $399 for one posting, live for 90 days or until removed by the Poster.
  3. Annual subscription: $3,999 for unlimited postings for twelve months, together with labor pool insights.
  4. The price displayed at the time of purchase is the price payable. An annual subscription renews automatically each year unless cancelled. You may cancel at any time; cancellation takes effect at the end of the paid period, and the Service continues until then.
  5. Fees are exclusive of applicable taxes. Except as expressly stated in these Terms, fees are non-refundable.

9. Your information

We do not sell personal information, whether a Seeker’s or a Poster’s. What we collect, why we hold it and who receives it is set out in the Privacy Policy, which forms part of these Terms.

10. Term and termination

  1. You may close your Account at any time through the Service.
  2. We may suspend or terminate your Account in accordance with Section 5.
  3. Sections 2, 6.2, 6.3, 9, 11, 12, 13 and 14 survive termination.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, TURNTECHS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT ANY CONTENT, QUALIFICATION OR USER IS ACCURATE, GENUINE OR SUITABLE.

Verify a worker’s papers before he stands on your site, and check an outfit before you work for it. That responsibility is yours, on both sides.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TURNTECHS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, EARNINGS, WORK, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TURNTECHS SHALL NOT BE LIABLE FOR ANY ACT OR OMISSION OF ANY USER, OR FOR ANYTHING ARISING OUT OF A WORKING RELATIONSHIP FORMED THROUGH THE SERVICE.

THE AGGREGATE LIABILITY OF TURNTECHS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO TURNTECHS IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnity

You shall indemnify, defend and hold harmless TurnTechs and its members, officers, employees and agents from and against any claim, demand, loss, liability, damage, cost or expense, including reasonable attorneys’ fees, arising out of or relating to your Content, your use of the Service, your breach of these Terms, or your violation of any law or of the rights of any third party.

14. Governing law and venue

These Terms are governed by the laws of the State of Louisiana, without regard to its conflict of laws rules. Any action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts sitting in Lafayette Parish, Louisiana, and each party submits to the personal jurisdiction of those courts and waives any objection to that venue.

15. General

  1. Changes. We may amend these Terms. We will update the date at the top of this page, and where a change is material we will notify you through the Service. Continued use after a change takes effect constitutes acceptance of the amended Terms.
  2. Severability. If any provision is held unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions shall remain in full force.
  3. No waiver. A failure or delay in enforcing any provision is not a waiver of it.
  4. Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition or sale of assets.
  5. Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and TurnTechs concerning the Service and supersede all prior understandings concerning it.
  6. Notices. We may give notice through the Service or to the email address on your Account. Notice to us must be sent to the address in Section 16.
